Terms of Service for Recaster Services

Preamble

These Terms of Service (hereinafter "Terms") govern the relationship between Recaster Software GmbH, Eduard-Schloemann-Str. 35, 40237 Düsseldorf, Germany (hereinafter "Recaster," "we," "us") and you (hereinafter "User," "you") for the use of all online services and platforms offered by Recaster (e.g., HELX), collectively referred to as the "Recaster Services." Access to all Recaster Services is managed through a central user account (hereinafter "Recaster Account") via our Single Sign-On (SSO) system. These Terms become a part of the contract upon the creation of a Recaster Account.

§ 1 Scope and Contract Formation

  1. Scope: These Terms apply to the entire use of the Recaster Services accessible via a Recaster Account, regardless of whether the use is free of charge or paid.
  2. Contract Formation: The user agreement is concluded upon your successful registration and the creation of a Recaster Account. By submitting the registration form, you make a binding offer to conclude a user agreement and accept these Terms. We accept this offer by activating your account.
  3. Eligibility: To use our services, you must be at least 18 years old. Minors aged 16 and over are permitted to use the services only with the explicit consent of their legal guardians. By registering, you confirm that you are of legal age or that you have obtained the necessary consent.

§ 2 Scope of Services and Availability

  1. Free Services (e.g., "Explorer" Package): For free services, there is no entitlement to a specific scope of services or uninterrupted availability. Recaster reserves the right to modify, restrict, or discontinue free services at any time, without prior notice and without giving reasons.
  2. Continuous Development: The Recaster Services are constantly evolving. We reserve the right to adapt or change features and design, provided this serves technical advancement, is legally required, or does not unreasonably limit the core service for the user.
  3. Availability: We strive to ensure the highest possible availability of the Recaster Services. However, we cannot technically guarantee uninterrupted availability at all times, especially during maintenance, security updates, or events beyond our control (force majeure, public network disruptions, etc.).

§ 3 User Obligations and Fair Use Policy

  1. Account Security: You are obligated to keep your access credentials (password) confidential and protect them from unauthorized access by third parties.
  2. Truthful Information: The information provided during registration must be truthful and complete, and you must keep it up to date.
  3. Lawful Use: You agree not to use the Recaster Services for any illegal purposes.
  4. Fair Use Policy: Your use of the Recaster Services must be fair and reasonable. In particular, you are prohibited from:
    1. Using the services or their APIs (Application Programming Interfaces) for unintended, excessive, or abusive purposes.
    2. Employing automated systems (such as bots, spiders, scrapers) to extract data, enumerate user accounts, or overload the services (flooding).
    3. Bypassing, testing, or attacking security mechanisms (e.g., through brute-force attacks, hacking attempts).
    4. Reverse engineering, decompiling, or otherwise attempting to discover the source code of the software or services. In case of violations of the Fair Use Policy, we reserve the right to suspend or terminate your account immediately.

§ 4 User-Generated Content

  1. Intellectual Property: You retain all copyrights and ownership rights to the content you create (e.g., games, texts, images; hereinafter "User Content").
  2. Grant of Rights: To technically operate the services, you grant us a simple, worldwide, royalty-free license to store, reproduce, and (if made public by you) publicly display your User Content. This license terminates when you delete your content or your account.
  3. Responsibility & Prohibited Content: You are solely responsible for your User Content and warrant that it does not violate applicable law or the rights of third parties. It is forbidden to create or distribute illegal, extremist, racist, offensive, pornographic, or otherwise objectionable content. We reserve the right to remove such content and suspend your account.

§ 5 Term and Termination of the User Account

  1. Term: The user agreement is concluded for an indefinite period.
  2. Termination by the User: You may delete your Recaster Account at any time, provided there are no active paid subscriptions.
  3. Termination by Recaster: We may terminate the user agreement for a free account at any time without giving reasons. The right to extraordinary termination for cause (e.g., in case of significant breaches of these Terms) remains unaffected.

§ 6 Liability, Data Protection, and Final Provisions

  1. Liability: Our liability is governed by statutory provisions. For free services, our liability is limited to intent and gross negligence.
  2. Data Protection: Information on the collection and use of personal data can be found in our separate Privacy Policy.
  3. Final Provisions: German law shall apply. Should any individual provisions be invalid, the validity of the remaining provisions shall not be affected. You will be notified of any changes to these Terms at least four weeks in advance.

Governing Language

The German version of these Terms is the sole legally binding document (https://www.helx.net/de/tos). Translations into other languages are provided for informational purposes only and are not binding in case of discrepancies.
